Service Agreement

This Service Agreement outlines the terms and conditions under which Avelix Inc. provides transportation and trucking services.

Scope of Services

Avelix Inc. provides contract trucking services, including but not limited to fluid hauling and general freight transportation. Services are performed based on client requests, agreed schedules, and operational requirements.

Independent Contractor

Avelix Inc. operates as an independent contractor. Nothing in this agreement shall be interpreted as creating a partnership, joint venture, or employment relationship between Avelix Inc. and the client.

Scheduling & Availability

All services are subject to availability. While Avelix Inc. strives to meet agreed timelines and schedules, delays may occur due to weather conditions, road conditions, mechanical issues, or other unforeseen circumstances.

Client Responsibilities

Clients agree to:

• Provide accurate job details and instructions

• Ensure all loads are properly prepared and compliant with applicable regulations

• Communicate any special requirements in advance

Avelix Inc. is not responsible for issues arising from incomplete or inaccurate information provided by the client.

Compliance & Safety

All services are carried out in accordance with applicable transportation laws, safety regulations, and industry standards. Safety is a top priority, and Avelix Inc. reserves the right to refuse or stop any job that poses a safety risk.

Rates & Payment Terms

Service rates are agreed upon in advance or per contract. Invoices will be issued upon completion of services unless otherwise stated.

Payment terms:

• Payment is due upon receipt unless otherwise agreed

• Late payments may be subject to additional charges

Limitation of Liability

Avelix Inc. is not liable for delays, damages, or losses caused by circumstances beyond reasonable control, including but not limited to weather, road conditions, or third-party actions.

Cancellations

Clients must provide reasonable notice for cancellations. Avelix Inc. reserves the right to charge for last-minute cancellations or reserved time.

Modifications

Avelix Inc. reserves the right to update or modify this Service Agreement at any time. Continued use of services constitutes acceptance of any updated terms.

Governing Law

This agreement shall be governed by the laws of the applicable province and Canada.
